Types of Nonprofit Organisations in Peru
Nonprofit organisations are designed to pursue social, cultural, educational, religious, or charitable purposes without distributing profits to members. Understanding the different legal forms available is essential for founders, donors, and international organisations seeking to operate in Peru.
Peruvian law provides a flexible and structured environment for nonprofit activity, offering several legal forms tailored to different organisational needs. Whether establishing an association, foundation, or committee, the selection of the appropriate structure depends on the intended purpose, governance model, and funding strategy.
Below is an overview of the main types of nonprofit organisations recognised under Peruvian law.
Associations
An association is the most common type of nonprofit entity in Peru. It is formed by a group of individuals or legal entities who come together to pursue a shared, non-profit purpose. This structure requires at least two members and operates through governing bodies such as a General Assembly and a Board of Directors.
Associations acquire legal personality upon registration with the Public Registry. While they may generate income in the course of their activities, any surplus must be reinvested in furthering the organization’s objectives rather than distributed among members. In practice, associations are widely used for non-governmental organisations, cultural institutions, professional groups, and advocacy initiatives.
Foundations
A foundation differs from an association in that it is centered on a pool of assets rather than a membership base. It is established when one or more founders allocate assets to be used for a specific public-interest purpose, such as education, healthcare, or charitable work.
Foundations are typically created through a founding act or testamentary disposition. They do not have members, instead, they are administered in accordance with the founder’s intent. Due to their asset-based nature, foundations are subject to a higher degree of oversight by public authorities to ensure that their resources are used consistently with their stated purpose. This structure is particularly suitable for philanthropic endowments and long-term charitable projects.
Committees
A committee is generally conceived as a temporary nonprofit organisation formed to achieve a specific and often time-limited objective. It is commonly used in situations where funds are raised for a particular cause or event.
Although committees tend to have a simpler organisational structure than associations or foundations, they may still be required to register formally, especially if they manage significant resources or operate on a broader scale. Their temporary nature distinguishes them from other nonprofit forms, as they are typically dissolved once their objective has been fulfilled.
Non-Governmental Development Organisations
Non-Governmental Development Organisations, commonly referred to as ONGDs, are not a distinct legal category under Peruvian law. Instead, they are usually established as associations but may register with the Peruvian Agency for International Cooperation if they intend to receive international funding.
Registration as an ONGD entails additional compliance obligations, including reporting and transparency requirements. This framework enables such organisations to participate in international cooperation programs and to access foreign donations. ONGDs are frequently involved in development, humanitarian, and social impact initiatives, both locally and internationally.
Key Legal Considerations
When establishing a nonprofit organisation in Peru, several legal aspects must be carefully evaluated. Legal personality is obtained through registration with the National Superintendence of Public Registries, and compliance with ongoing governance requirements is essential. Organisations must also consider their tax position, including eligibility for exemptions under Peruvian tax law, as well as their obligations under transparency and anti-money laundering regulations.
